TERMS OF SERVICE

These Terms of Service ("Terms") constitute a legally binding agreement between AMUN AI ("Company", "we", "us", or "our") and the business entity utilizing our services ("Client", "you", or "your"). By registering for, accessing, or utilizing the AMUN AI cloud-based SaaS (Software as a Service) platform, the Client agrees to be bound by these Terms.
1. Definitions
1.1 Service Description. AMUN AI provides a B2B, cloud-based SaaS platform enabling access to highly specialized AI Agents. These Agents process data, facilitate interactions, and support business operations based exclusively on the data environments and parameters supplied by the Client. Access to the AMUN AI platform is restricted strictly to the Client and its authorized personnel. 1.2 Integration. AMUN AI operates exclusively as backend infrastructure. The Client is solely responsible for connecting or integrating the highly specialized AI Agents into its own internal systems, applications, or customer-facing interfaces. AMUN AI does not operate an end-user platform and has no direct relationship with the Client’s customers. 1.3 Subscription. The Service is provided on a month-to-month subscription basis with no long-term commitment. The Client may cancel prior to the next billing cycle.
2. AMUN AI INTELLECTUAL PROPERTY AND LICENSE
2.1 SaaS Ownership. AMUN AI retains all exclusive right, title, and interest in and to the platform. This includes the highly specialized AI Agents, algorithms, source code, backend infrastructure, and all underlying logic. 2.2 Branding. All logos, trademarks, and visual assets associated with AMUN AI remain the exclusive property of the Company. 2.3 Usage License. During an active, paid subscription, AMUN AI grants the Client a limited, non-exclusive, non-transferable, and revocable license to access and use the Service. 2.4 Strict Restrictions. The Client is strictly prohibited from attempting to: (a) Copy, reproduce, or duplicate the Service or its architecture. (b) Reverse engineer, decompile, or extract the source code or AI logic. (c) Resell, sub-license, or repackage the AMUN AI platform as their own standalone software.
3. CLIENT DATA RIGHTS AND OWNERSHIP
3.1 Client Ownership. AMUN AI claims zero ownership rights over any data processed through the Service. The Client retains absolute and exclusive ownership of: (a) Input Data: All proprietary data, documents, and information uploaded or connected to the platform by the Client. (b) Generated Data: All responses, processed information, and outputs generated by the highly specialized AI Agents. 3.2 Data Protection Guarantees. AMUN AI strictly commits to the following protections regarding Client data: (a) AMUN AI strictly prohibits the sale, rental, or leasing of Client data. (b) AMUN AI guarantees that Client data will never be used to train, retrain, or improve foundational AI models. 3.3 Data Portability and Deletion. The Client retains the unrestricted right to export their data at any time during an active subscription. The Client may also request the permanent deletion of their data, which AMUN AI will execute subject to the operational retention cycle defined in these Terms. 3.4 Disclaimer of Warranties. Because the highly specialized AI Agents rely entirely upon the data provided by the Client and publicly available information, all generated responses and outputs are provided "AS IS." AMUN AI makes no warranties regarding accuracy, completeness, or suitability.
4. REGULATORY COMPLIANCE AND PRIVACY
4.1 Data Protection compliance. AMUN AI complies with applicable data privacy regulations, including the General Data Protection Regulation (GDPR), applicable Personal Data Protection Acts (PDPA), and regional Personal Data Protection (PDP) Laws. 4.2 Data Processing Agreement (DPA). The processing and security of data handled by AMUN AI on behalf of the Client are governed by a separate Data Processing Agreement (DPA). 4.3 Privacy Policy. The handling of the Client’s administrative account information is governed by the AMUN AI Privacy Policy, incorporated herein by reference.
5. ACCOUNT AUTHORITY
The individual establishing the account represents and warrants they possess the legal authority to bind the Client entity.
6. ACCEPTABLE USE AND RESTRICTIONS
6.1 General Restrictions. The Client shall not use the Service for any unlawful, fraudulent, or malicious purpose. 6.2 Strictly Prohibited Activities. AMUN AI strictly prohibits the use of its infrastructure for the following. Violation shall result in immediate account termination: - Activities relating to racism, hate speech, discrimination, violence, or the exploitation of minors, women, or any vulnerable group. - Violations of local, national, or international laws, including telemarketing, data privacy, and anti-spam legislation. 6.3 Prohibited Industries. AMUN AI strictly denies service to entities operating in or supporting: - Nightlife venues, bars, and nightclubs. - Production, distribution, or sale of alcohol and spirits. - Physical or online gambling, including sports betting. - Online gaming and casinos. - Illegal or non licensed data scraping services, software, systems 6.4 Liability for Lead Generation. Where the Client configures AI Agents to process publicly available business information, the Client assumes sole and absolute legal liability for ensuring their subsequent marketing or outreach communications comply with all applicable anti-spam and telecommunications laws. 6.5 AMUN AI reserves the right to suspend access and require formal corporate verification documentation if unauthorized use, illegal activity, or a Terms violation is suspected.
7. billing, SUSPENSION AND TERMINATION
7.1 Billing. Subscriptions are billed monthly in advance. AMUN AI may modify fees with thirty (30) days' prior written notice. 7.2 Overdue Accounts (7-Day Rule). If payment is not received within seven (7) days of the due date, AMUN AI shall immediately suspend the Client's access to the Service. 7.3 Termination (30-Day Rule). If an account balance remains unpaid for thirty (30) days following the due date, AMUN AI shall permanently terminate the account.
8. POST-TERMINATION DATA RETENTION
Upon account cancellation or termination, Client access to the platform shall cease. All associated data shall be securely retained for a maximum transition period of thirty (30) days. Following the expiration of this thirty (30) day period, all Client data shall be permanently and irreversibly purged from AMUN AI systems.
9. SERVICE AVAILABILITY AND FORCE MAJEURE
9.1 Service Provision. The Service is provided on a "best-effort" basis. AMUN AI does not warrant uninterrupted or error-free operation. Scheduled maintenance will be announced in advance. 9.2 Force Majeure. AMUN AI shall not be liable for any failure in performance due to circumstances beyond its reasonable control, including acts of God, war, terrorism, natural disasters, national power grid failures, internet backbone outages, or third-party infrastructure failures.
10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AMUN AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, OR DATA. AMUN AI ASSUMES NO LIABILITY FOR ANY BUSINESS DECISIONS OR NEGATIVE OUTCOMES RESULTING FROM THE CLIENT'S USE OF OUR AI AGENTS.
11. INDEMNIFICATION
Upon connecting any of our AI Agents on the Client’s internal or customer-facing communication channels (Social media, Whatsapp, Telegram, etc ...) , the Client maintains sole responsibility for all interactions occurring on those systems. The Client agrees to indemnify and hold harmless AMUN AI from and against any third-party claims, legal actions, or damages arising directly from: (a) The Client’s violation of these Terms; (b) Claims brought by the Client's end-users resulting from their interactions with our AI Agents on the Client's integrated platforms; (c) Claims alleging that the Client’s provided data violates the law or infringes upon third-party rights.
12. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Cambodia. Any dispute or claim arising out of or relating to these Terms shall be subject to mandatory and binding arbitration administered under the applicable commercial arbitration rules of the Kingdom of Cambodia.
